Seller-side Advisory

Seller-side Advisory is the service provided to the owner who is selling a business - to prepare its financials, get its legal compliance and documentation in order, market the business and get the deal closed on the best possible terms.

The seller-side process includes:

​

Financial Assessment - review the business financials, structure, operations, revenue streams, value drivers and risk areas, and prepare the business for sale from a financial compliance perspective.

 

Legal Due Diligence - review the company's structure, contracts, governance, liabilities and risks. Prepare a Data Room for secure and confidential information transfer to potential buyers.

 

Tax Advisory and Assurance - On the seller side, tax isn’t a side issue. It directly affects the seller's net profit. Includes compliance assessment, regularisation, and advisory on the deal structure most suitable to the seller. 

Buyer-side Advisory

Guidance in buying a business (acquisition) or planning on absorbing a competitor into your existing business (merger or acquisition). Identify, evaluate, negotiate, and successfully acquire a business. Special attention is required in the due diligence into, and assessment of, the target business to be bought.

The buyer-side process includes:

​

Deal Sourcing and Strategy - identify appropriate industry and coherent strategy, define acquisition criteria and identify target businesses.

 

Valuation and Financial Analysis - financial assessment of the target business, including assessment of its structure and profitability.

 

Legal Due Diligence - the largest due diligence component in buyer-side. Analyse contracts, regulatory compliance and litigation to determine risks and liabilities.

Tax Due Diligence - essential tax-specific due diligence to determine historic tax compliance, tax structuring risks and hidden liabilities.

​

Deal Structuring - should the target business appear to be a suitable prospect, the deal is structured to manage risks and negotiated to secure best possible terms for the buyer. Ongoing negotiation support is provided throughout the process until conclusion of the acquisition.

Bastion arranges deal financing for qualifying transactions through our network of partners. Financing options are available as appropriate.
